Michael A. Dinowitz


Michael A. Dinowitz, a member of the Firm, is a real estate and corporate attorney specializing in real estate and business transactions. Mr. Dinowitz advises real estate clients on sales, acquisitions, transaction structuring, joint ventures and on all aspects of commercial finance (including workouts, restructurings, foreclosures, bridge, permanent, mezzanine and construction financing). His clients include developers, real estate companies, institutional and high net worth investors, contractors, brokers and management companies. He also has significant experience advising real estate clients on the corporate aspects of their transactions and represents both sponsors of and investors in real estate opportunity funds. Mr. Dinowitz has been involved in the structuring and implementation of complex joint venture agreements for real estate projects throughout the tri-state area. One such recent joint venture transaction involves a large assemblage and mixed use development project on the West Side of Midtown Manhattan while another such joint venture project deals with the assemblage of a 20+ property portfolio in Hudson County, New Jersey for retail and multifamily residential development. He also represented the seller of a portfolio of 24 residential apartment buildings located in Manhattan, Brooklyn and the Bronx to a large real estate fund. In addition to his real estate related activities, he has a variety of business clients for which he handles a variety of general corporate and business matters including the sale and acquisition of companies, joint venture agreements and strategic alliances, a wide variety of commercial agreements and day-to-day business issues. In particular, he has served for many years as outside general counsel for several companies in the facilities management service industry. Mr. Dinowitz received his J.D. from Brooklyn Law School in 1987 and his B.S. from the State University of New York at Albany, magna cum laude, in 1983 and has been a member of the New York and New Jersey bars since 1987. Among other involvements in various charitable and not-for-profit organizations he is currently a member of the real estate committee of AIPAC, the Board of Directors of the Jewish Enrichment Center and until June, 2010 was member of the Board of Trustees of the JCC Rockland.
