Carla Passos, of counsel to the Firm, is a corporate attorney who specializes in public and private securities offerings, mergers and acquisitions and venture capital. Ms. Passos has extensive experience in taking companies public and has been involved in several Regulation A IPOs recently.
Ms. Passos represented issuers of securities as well as investors, underwriters and placement agents in connection with both public and private offerings of equity and debt securities. Some of her representative securities transactions include:
- Counsel to Petrobras (the Brazilian oil and gas company) in its $70 billion global equity offering, widely reported to be the largest securities law offering in history at the time.
- Counsel to Azul (a leading Brazilian airline) in its initial public offering registered with the Securities and Exchange Commission (SEC).
In the mergers and acquisitions area, Ms. Passos has represented both buyers and sellers of businesses in a variety of industry sectors in both public and private transactions. Some of her representative mergers and acquisitions include:
- Counsel to Bank of America in the $3 billion sale of its stake in Itau Unibanco Holding.
- Counsel to the Pepsi Bottling Group in the Ps. 11.6 billion acquisition of the Mexican bottling company Pepsi-Gemex S.A. de C.V.
Prior to joining the firm, Ms. Passos was a counsel at Shearman & Sterling LLP and a senior attorney at Cleary Gottlieb Steen & Hamilton LLP.
Ms. Passos received a LL.M degree from the University of Chicago and a law degree from the University of Sao Paulo. She is admitted to practice law in the State of New York.
Ms. Passos is fluent in Portuguese and Spanish.
