Michael A. Dinowitz
Michael A. Dinowitz, a member of the Firm since 2005, is a real estate and corporate attorney with a concentration in real estate related transactions including sales, acquisitions, financings (permanent, construction, mezzanine and bridge), joint ventures, development, leasing, workouts and restructurings. He represents a diverse group of clients, including owners, operators, developers, investors, lenders, borrowers, brokers and management companies. Mr. Dinowitz regularly deals with the structuring and implementation of complex joint venture agreements involving multiple classes of equity interests with intricate economic and control rights for large real estate projects. He also handles general corporate and business matters including asset and equity sales and acquisitions, joint venture agreements and other strategic alliances as well as a wide variety of commercial agreements and business issues. In particular, he has served for many years as outside general counsel for companies in the facilities management and service industry and well as for various family offices. In addition, he heads up the Real Estate Practice Group’s crowdfunding practice and provides general corporate, real estate and real estate finance advice to various crowdfunding companies raising funds to invest in commercial and residential real estate through the U.S.
Mr. Dinowitz received his J.D. from Brooklyn Law School in 1987 and his B.A. from the State University of New York at Albany, magna cum laude, in 1983 and has been a member of the New York and New Jersey bars since 1987.

Joint Venture for the development an approximately 600+ room hotel, with additional long term stay units with food, beverage and other hotel common area and retail space located in Manhattan.
Joint Venture for the acquisition and development of a large planned urban community in New Jersey with residential towers and a service retail center.
Joint Venture for the development of a residential high-rise apartment building consisting of rental apartment units, common area amenities and parking spaces in Long Island City, New York.
Joint Venture for the development of a residential high-rise condominium apartment building containing condominium units, common area amenities in Miami.
Joint Venture for the acquisition, development, construction, rehabilitation, financing and management of multifamily residential affordable housing projects in urban centers located in the Northeast.
Represented a development joint venture as borrower in securing construction financing of approximately $195MM (in the aggregate) from a national money center lender and an EB-5 mezzanine lender for the ground up development and construction of a 600+ room hotel property in Manhattan.
Represented the owner/borrower in the refinancing of an office building located on East 34th Street and Madison Avenue in Manhattan.
Represented the owner/borrower in the refinancing of an office building located on West 36th Street and Fifth Avenue in Manhattan.
Represented the owner/borrower in the refinancing of an office building located on Park Avenue South in Manhattan.
