Atlas Financial Holdings, Inc. announced the closing of its initial public offering; 1,500,000 shares were sold by AFH and 2,625,000 shares were sold on behalf of selling shareholders. Total proceeds raised in the offering were $23,517,000. EG&S acted as counsel to Atlas.

Nautilus Marine Acquisition Corp. (NASDAQ:NMAR) announced the completion of its acquisition of Assetplus Limited, a maritime energy services company controlling an initial fleet of vessels consisting of two platform supply vessels and two oil spill response vessels, as well as six binding time charter contracts with Brazilian oil major Petróleo Brasileiro S.A. In connection therewith, Nautilus completed its self-tender offer for up to 4,137,300 shares of its common stock at a price of $10.10 per share. EG&S acted as counsel to Nautilus.

Ellenoff, a member of the Firm, was invited by the Inter American Development Bank and Multilateral Investment Fund to participate in their workshop “Crowdfunding: Financing Ideas, Entrepreneurs and Institutions The Market in Latin America and the Caribbean.” Mr. Ellenoff was part of two different panels: Discussion of Regulatory Aspects and Business Models Emerging due to the JOBS Act and Crowdfunding with Financial Returns.
