    EG&S represented The Pyramid Companies in connection with the closing of a $250,000,000 financing from JPMorgan Chase Bank, N.A. encumbering its retail shopping center known as Holyoke Mall at Ingleside, located in Holyoke, Massachusetts. The ten-year, fixed rate financing was structured with mortgage loan and mezzanine loan components. The Pyramid Companies (www.pyramidmg.com) are a privately held developer, owner and manager of innovative retail, entertainment, recreation and tourism centers, including 19 regional shopping centers, across the Northeast corridor.

    Xsovt, LLC announced their acquisition by RxBids (OTCBB:RXBD) via a concurrent change of control and securities exchange transaction. As a result of the acquisition, effective February 7, 2011, RxBids has changed its name to Xsovt Brands, Inc. and will now be traded on the OTCBB under the symbol XSVT. EG&S acted as counsel to Xsovt.

    pSivida Corporation has announced the completion of their registered direct offering for common stocks in the amount of $11,050,000.  EG&S acted as counsel to the Placement Agent.*

    57th Street General Acquisition Corp announced that it entered into an agreement to merge with Crumbs Holdings, the NYC cupcake bakery.  EG&S acted as counsel to 57th Street.
     

  • January 07, 2011

    Broadridge Financial Solutions (NYSE:BR) recently announced its acquisition of Matrix Financial Solutions for $201 million in cash, subject to adjustments for net working capital. Broadridge acquired the stock of Matrix following a competitive sale process managed by Raymond James Associates. EG&S acted as counsel to Matrix and its shareholders in this transaction.

The United States lags behind all of the three emerging economies and ranks the fourth with only 23 percent support.

Entrepreneurship Day included a variety of panels featuring distinguished experts from a variety of fields giving their perspective and insight on several topics including: Capital Raising; Resources for Entrepreneurs; and University Research & Innovation.
