Samuel Katz, of counsel to the Firm, is a corporate and securities lawyer. He represents both foreign and domestic, emerging growth and high technology issuers and investors in equity crowdfunding, private placement and public offerings. He represents Israeli clients with respect to matters relating to US securities laws. He also represents clients in matters related to blockchain technology and regulated token offerings, including security tokens and other digital assets. He has significant experience in private fund formation, including private equity and venture capital funds, and represents clients in negotiation and preparation of fund documentation and ongoing operation of funds. His experience also includes debt financing, including, in particular, venture debt facilities.
Mr. Katz previously was a partner at a New York-Israeli boutique corporate law firm and a senior associate at Meitar Law Offices, one of Israel’s leading law firms, where he led the IPOs of Israeli companies on the NYSE and Nasdaq and represented Israeli companies with respect to compliance with US securities laws and exchange requirements. Prior to Meitar, Mr. Katz was a member of the corporate and securities group at Dechert LLP in New York.
Mr. Katz holds a bachelor’s degree in media studies from Queens College – City University of New York and earned his Juris Doctor degree from New York University School of Law. He is admitted to practice in the State of New York and in the State of Israel and is fluent in Hebrew.
