    Douglas S. Ellenoff and Stuart Neuhauser, members of the Firm, were invited to speak on a panel regarding SPACs held in Toronto, Canada. The conference, which was sponsored by the law firm Fasken Martineau DuMoulin LLP,  brought together investors, investment bankers, advisers as well as senior executives of the Toronto Stock Exchange (TSX), to discuss the recent proposal of the TSX to agree to list SPACs on its exchange. Messrs. Ellenoff and Neuhauser shared with the panel their collective experience of the US SPAC market and the various changes/trends over the last few years.

Ellenoff, a member of the Firm, was invited by Maxim Group LLC to participate in their "Recipe for a Successful SPAC" Panel at their 2nd Annual Growth Conference.  This one-day event featured more than 80 presentations across six designated tracks from a diverse selection of both domestic and international companies.

    United Insurance Holding Corp. (OTCBB: FMGQ; FMGQW; FMGQU) (“United” or the “Company”), an underwriter of homeowners and selected small business insurance in the state of Florida, announced that it has successfully completed its merger with FMG Acquisition Corp. in a transaction with an enterprise value in excess of $100 million.  EG&S acted as counsel to FMG Acquisition Corp.

    Densen Equipment Ltd. announced the completion of their reverse merger/share exchange with Royaltech Corp. (OTCBB:RYLT).  EG&S was counsel to Densen and is ongoing 34 Act counsel to the public company.

    An undisclosed principal has entered in to a joint venture agreement for the acquisition and development of an assemblage of properties on the West Side of Manhattan for the amount of $62,000,000.  EG&S acted as counsel to the principal member of the joint venture.

    Chardan 2008 China Acquisition Corp. announced the closing of its initial public offering in the amount of $55,000,000.  Chardan will be the first Nasdaq listed SPAC.  EG&S acted as counsel to the underwriters.

    Enhance Skin Products Inc. announced the closing of their PIPE deal (amount undisclosed).  EG&S acted as counsel to Enhance.

  • August 14, 2008

    Zeezoo Software Corp. announced their asset purchase agreement between Zeezoo and Enhance Skin Products Inc.  EG&S acted as counsel to Enhance.

  • July 25, 2008

Mr. Ellenoff moderated the panel on the convergence of private equity with SPACs.
