Herman Miller, Inc. (NASDAQ: MLHR) announced the acquisition of Design Within Reach, Inc. (OTC: DWRI). Herman Miller and its affiliates initially acquired an ownership interest of over 96% in Design Within Reach (DWR) pursuant to a stock purchase agreement with the principal shareholders of DWR and a contribution and rollover agreement with certain shareholders of DWR, and then did a short-form merger to cash out the remaining DWR shareholders at the same price paid to DWR shareholders under the stock purchase agreement. EG&S acted as counsel to DWR.
