    Alkaline Water Company Inc. announced the closing of their PIPE offering in the amount of $500,000.  EG&S acted as counsel to the Placement Agent.

    Staffing 360 Solutions, Inc. consummated and closed the acquisition of 100% of the issued and outstanding stock of Control Solutions International, Inc., a Florida corporation pursuant to a Stock Purchase Agreement dated August 14, 2013 by and among Staffing 360 Solutions, NewCSI, Inc., a Delaware corporation, and the shareholders of NCSI, for an aggregate purchase price of $530,300.93, consisting of cash and stock. EG&S acted as counsel to Staffing 360 Solutions, Inc.

    Aplifi, Inc., a leading provider of products that streamline the selling and maintenance of insurance products, was sold to Internet Pipeline, Inc. a provider of software tools to the insurance industry. Aplifi was a portfolio company of Bluff Point Associates Corp. EG&S acted as counsel to Aplifi and its shareholders.

    Douglas S. Ellenoff, a member of the Firm, was invited by The University of California, Berkeley, to participate in an international academic conference on crowdfunding titled "Crowdfunding; Setting the Research Agenda."  UC researchers are interested in crowdfunding — particularly in the wake of the federal Jumpstart Our Business Start-ups Act, which relaxed some rules on how companies can ask for equity investments. Richard Swart, who leads crowdfunding research at Cal’s Fung Institute for Engineering Leadership, which is hosting the symposium, said part of the focus on the conference will be on “mechanisms to protect new investors.”
