Our tax practice is an integral part of the Firm’s transaction-oriented practice, and extends to a broad spectrum of federal, state and international tax planning. Clients benefitting from our tax experience include private and publicly-held corporations, institutional investors and lenders, venture capital and real estate partnerships and limited liability companies, foreign investors, joint ventures, exempt organizations and individuals.
We provide sophisticated transactional tax planning in connection with stock and asset acquisitions, reorganizations, real estate, debt and equity financing, leasing, project finance, troubled company workouts and the formation and operation of Subchapter S corporations, partnerships and limited liability companies. On an ongoing basis, we act as counsel in connection with executive compensation planning on behalf of public companies, private enterprises and partnerships, as well as on behalf of individuals.
In conjunction with our Real Estate Practice Group, we act as counsel on all aspects of low-income housing tax credit transactions. We represent for-profit and not-for-profit developers, contractors and operators of low-income tax credit projects. The Firm has represented clients in connection with the issuance of tax credits by various government agencies and the sale of tax credits to syndicators. We have issued tax opinions relating to the availability of tax credits, partnership allocations and other related areas.
