    Melanie A. Chieu, of counsel to the Firm, is a real estate and corporate attorney focusing her practice on real estate and business transactions. Ms. Chieu has extensive transactional experience representing lenders and borrowers in connection with commercial mortgage loans, mezzanine loans and other secured transactions and loan sellers and issuers in connection with commercial mortgage backed securities transactions. She also has experience representing clients in joint venture and leasing transactions and private and public companies with respect to mergers and acquisitions, securities offerings and general corporate matters.

    Prior to joining the Firm, Ms. Chieu was associated with the firms of Thacher Proffitt & Wood LLP and Brown Raysman Millstein Felder & Steiner LLP.

    Ms. Chieu received a Bachelor of Science degree in Industrial and Labor Relations from Cornell University in 1997, a Masters degree in Public Administration from Cornell University in 1998, and a Juris Doctor degree from Cornell Law School in 2001, where she was a member of the Cornell Journal of Law and Public Policy and the Moot Court Board. Ms. Chieu is admitted to practice law in the States of New York and New Jersey and is a member of the New York City Bar Association.

    Michael A. Dinowitz, a member of the Firm, is a real estate and business attorney with a concentration in real estate related transactions including sales, acquisitions, financings (permanent, construction, mezzanine and bridge), joint ventures, development, leasing, workouts and restructurings. He represents a diverse group of clients, including owners, operators, developers, investors, lenders, borrowers, brokers and management companies. Mr. Dinowitz regularly deals with the structuring and implementation of joint venture operating and partnership agreements.  He also handles general corporate and business matters involving diverse commercial agreements and business issues.

    Mr. Dinowitz received his J.D. from Brooklyn Law School in 1987 and his B.A. from the State University of New York at Albany, magna cum laude, in 1983 and has been a member of the New York and New Jersey bars since 1987.

    Joseph S. Nicotra, a member of the Firm, specializes in real estate law. Mr. Nicotra has broad-based transactional experience representing: lenders and borrowers in connection with commercial mortgage loans, mezzanine loans and other secured transactions (including in the context of defaults, workouts and foreclosures and deeds-in-lieu of foreclosure); sellers and purchasers of commercial real estate; lessors and lessees in commercial leasing arrangements and loan sellers and issuers in connection with commercial mortgage backed securities transactions.

    Mr. Nicotra has direct experience with transactions involving: all types of real and personal property assets, including, office buildings, multi-family properties, retail centers, hotels, nursing homes, industrial facilities, franchises, fine art, hedge fund interests, receivables and equipment; fixed and floating rate loans; permanent, bridge and construction loans; senior/subordinate note structures; single and multi-tier mezzanine loans; intercreditor and co-lender agreements; loan sales; securitizations and syndications; environmental matters and distressed asset scenarios.

    Prior to joining the Firm, Mr. Nicotra was a partner of the Firm Thacher Proffitt & Wood LLP. A member of the New York bar since 1988, Mr. Nicotra received his J.D. from St. John’s University School of Law in 1987, where he was a member of the St. John’s Law Review, and his B.A. from Fordham University in 1984. Mr. Nicotra is a member of the American Bar Association and the New York State Bar Association.

    Midge J. Nutman, of counsel to the Firm, concentrates her practice in commercial real estate law, with an emphasis in leasing and conveyancing transactions. In practice for over 30 years, Ms. Nutman is an attorney with a broad range of experience in real estate and commercial matters. She is well versed in all types of real estate including representing both landlords and tenants in negotiating leases, net leases and ground leases for office, retail and industrial space. Ms. Nutman is currently acting as national leasing counsel for several multi-national companies. She regularly represents owners, developers and investors in the purchase, sale, construction, development, financing and leasing of commercial buildings, industrial facilities, shopping centers, hotels, 1031 properties and multi-family housing located throughout the United States. Ms. Nutman also represents institutional lenders in commercial transactions including real estate financing and construction financing.

    Prior to joining the Firm, Ms. Nutman was associated with the Firm Gursky & Partners, LLP, where she specialized in leasing on behalf of national retail tenants. Before joining Gursky & Partners, LLP, she had had a thirteen year association with Ross & Cohen, LLP, a law firm which specializes in commercial real estate and construction law. Ms. Nutman received her Bachelor of Business degree from University of Michigan and Juris Doctorate from St. John’s University School of Law where she graduated cum laude. Ms. Nutman is admitted to practice law in both the States of New York and New Jersey.

    • Representation of multi-national publicly traded architectural/engineering firm in its leasing of its United States offices including New York, Ohio, California and Colorado.
    • Representation of a multi-national executive search firm in its leasing of its United  States  offices including New York, Colorado, California, Massachusetts, and Illinois.
    • Representation of publicly traded finance trading company in its negotiation of its New York headquarters in midtown Manhattan.
    • Representation of Landlord in multiple transactions of ground floor retail including nail salons, waxing boutiques, medical spa and cellular stores.
    • Representation of multiple Landlords in negotiation of retail leases with world-wide coffee company
    • Representation of Seller in the sale of a mixed use building in East Harlem.
    • Representation of Purchaser in the purchase, financing and 1031 exchange of a building in “NOHO” section of Manhattan.

    Robert P. Sakosky, a member of the Firm, specializes in real estate law. Mr. Sakosky has extensive experience in representing landlords and tenants in lease negotiations with respect to office and retail space and other commercial properties. He also has experience in representing owners and developers in the acquisition, sale, and financing of commercial properties.

    In addition to his real estate experience, Mr. Sakosky also has experience in corporate law, representing public and private companies with respect to commercial transactions, including mergers and acquisitions, restructurings, financings and general corporate matters.

    Prior to joining the firm, Mr. Sakosky was associated with the firms of Paul, Hastings, Janofsky & Walker LLP and Sonnenschein Nath & Rosenthal LLP in New York.

    Mr. Sakosky is admitted to practice law in the State of New York and is a member of the New York State Bar Association.

    Mr. Sakosky received his Juris Doctor degree from the University of Michigan Law School and received his Bachelor of Arts degree in Political Science from the Pennsylvania State University.

    Allen Schole, a member of the Firm, is a real estate attorney involved in a broad range of transactional activities.  A substantial portion of his practice is devoted to representing landlords in connection with the leasing of retail space to national, regional and local retailers, the leasing of space to hospitals and medical groups and the leasing of restaurant space.  He also represents both landlords and tenants with respect to office leases, licensing arrangements and ground leases. Allen is actively involved in assisting clients with the purchase and sale of, and joint venture investment in, mixed use buildings, shopping centers and undeveloped real estate.  His shopping center experience includes expansion and redevelopment of regional and strip malls. In addition, he represents lenders and borrowers in all phases of commercial lending including fee and leasehold acquisition loans, refinancings and construction loans.

    Prior to joining the firm, Mr. Schole was associated with firms Hunton & Williams and Skadden, Arps, Slate, Meagher & Flom. Mr. Schole received a Juris Doctor degree, with honors, from the George Washington University National Law Center, where he was a Notes Editor for the George Washington Law Review. He received a Bachelor of Arts degree in Biology from Middlebury College. Mr. Schole is admitted to practice law in the State of New York.

    Jeffrey D. Stanger of counsel to the Firm, is a real estate and transactional attorney practicing primarily in the areas of real estate acquisitions, dispositions and finance, corporate finance and tax law. A member of the New York bar since 1981 and the New Jersey bar since 1978, Mr. Stanger was formerly a principal partner at the law firm of Faust, Rabbach, Stanger & Oppenheim, LLP, and, most recently, was of counsel to the law firm of Motola Klar Dinowitz & Carfora, LLP.

    Mr. Stanger has represented residential and commercial real estate owners, investors, developers, and syndicators, as well as individual entrepreneurs. His developer clients include owners and operators of first class office buildings, hotels, and office parks.

    Mr. Stanger received an L.L.M. in Taxation from New York University in 1982, a J.D./M.B.A. from Rutgers University in 1978 and a B.A. from Queens College in 1975.
