    Chaparral Energy, Inc. and United Refining Energy Corp. have entered into an agreement to merge in a transaction valued at $1.8 billion.  The combined company will be named Chaparral Energy, Inc.  EG&S served as counsel to United Refining.

    Zoom Technologies, Inc. (NASDAQ:ZOOM) completed its share exchange with Gold Lion Holding Ltd.  EG&S was counsel to Gold Lion Holding Ltd.  We continue to represent the merged entity – Zoom Technologies, Inc.

    Spectrum Pharmaceuticals, Inc. announced the completion of their registered direct offering of common stock in the amount of $50,000,003.  EG&S acted as counsel to the placement agent.*

     

    *Transaction was closed while members of the Firm were with Weinstein Smith LLP.

  • September 15 2009

    Generex Biotechnology Corporation announced the closing of a registered direct financing transaction for units, with each unit consisting of one share of its common stock and a warrant to purchase one share of its common stock.  Gross proceeds to Generex from the transaction amounted to $12,250,000.  EG&S acted as counsel to Maxim Group LLC, the co-placement agent for the financing.
